Terms & Conditions

Please read these Terms & Conditions (“Terms”) carefully. They form a contract between NZTWorx (“we”, “us”, “our”) and the organisation or individual purchasing or using our services (“Client”, “you”). By using our website, Contractor Portal, or any service listed below, you agree to these Terms.

Important: NZTWorx provides administrative payroll and compliance services. We do not provide legal, accounting or tax advice. You should seek independent advice for your specific circumstances.

1. Definitions

  • Services: CIS Payroll, PAYE for Employers, Umbrella Payroll, HMRC Verification, Deduction Statements, and Contractor Portal.

  • Worker: Your employee or subcontractor paid under the selected service.

  • Portal: Our secure web application for timesheets, statements, payslips and reports.

  • HMRC: His Majesty’s Revenue & Customs (UK).

2. Scope of Services

We deliver the Services described on their respective pages. A proposal, order form or onboarding email may set out the specific plan, volumes, fees and timelines that apply to you. If there is any conflict, the order form takes precedence over website copy.

3. Your Responsibilities

  • Provide complete and accurate information (company details, worker data, timesheets/valuations, materials/plant values, bank details).

  • Approve payroll inputs by the agreed cut-off; delays may move payments to the next cycle.

  • Retain ultimate responsibility for legal compliance applicable to your business and contracts with workers or end-hirers.

4. HMRC Verification & CIS

Where selected, we verify subcontractors with HMRC and record the official deduction rate (gross/20%/30%) and verification reference. Rates and statuses may change; we will act on the latest HMRC outcome when notified or on re-verification. You remain responsible for any taxes or penalties arising from information you provide that is incomplete, late or inaccurate.

5. PAYE & Umbrella Payroll

For PAYE services we process gross-to-net, submit RTI (FPS/EPS) and issue payslips. For Umbrella payroll, workers are employed by us and paid via PAYE; assignment rate to pay rate conversions and statutory deductions apply. National Minimum Wage rules are observed.

6. Deduction Statements & Reporting

For CIS payments we generate deduction statements showing labour, materials/plant exclusions, rate and CIS tax deducted. Reports and exports are available in the Portal. We keep reasonable records for audit.

7. Fees & Payment

  • Fees are stated on your order form or agreed tariff and are exclusive of VAT unless stated otherwise.

  • Invoices are due within 14 days (or as agreed). We may charge interest on late amounts at 8% above Bank of England base rate and recover reasonable collection costs.

  • We may suspend Services for non-payment after notice.

8. Data Protection

We process personal data as a processor on your behalf to provide the Services and as a controller for our own business operations. Our processing is subject to UK GDPR and the Data Protection Act 2018. Details are in our Privacy Notice and any applicable Data Processing Addendum. You will ensure a lawful basis for sharing personal data with us and for instructing our processing.

9. Portal Access & Acceptable Use

  • You are responsible for user accounts, role assignment and safeguarding credentials (including 2FA where enabled).

  • Do not misuse the Portal or attempt to access data you are not authorised to view. We may suspend access for security or compliance reasons.

10. Confidentiality

Both parties will keep confidential information secret and use it only for performing the Services, except where disclosure is required by law or the disclosing party consents in writing.

11. Intellectual Property

We retain all IP in our software, templates and materials. You retain IP in your data. You grant us a licence to use your content and branding solely to deliver the Services.

12. Warranties & Disclaimers

We will provide the Services with reasonable skill and care. Except as set out in these Terms, all other warranties (express or implied) are excluded to the extent permitted by law. We do not guarantee any specific tax outcome or HMRC decision.

13. Liability

Nothing limits liability for death or personal injury caused by negligence, fraud, or other liability that cannot be limited by law. Subject to the foregoing, our total aggregate liability arising out of or in connection with the Services in any 12-month period is limited to the total fees paid by you to us for the Services in that period. We are not liable for indirect or consequential losses, loss of profits, loss of data, or losses caused by inaccuracies or delays in information you supply.

14. Indemnity

You will indemnify us against claims, penalties or costs arising from your breach of law or these Terms, including inaccurate or late information supplied to us for payroll processing or HMRC filings.

15. Term, Suspension & Termination

These Terms apply from sign-up/onboarding and continue until terminated by either party on 30 days’ written notice, unless your order form specifies a minimum term. We may suspend or terminate immediately for material breach, unlawful activity or non-payment. On termination we will provide final reports and, if applicable, P45/P60 processing in line with law and your instructions.

16. Force Majeure

Neither party is liable for delay or failure caused by events beyond reasonable control (including outages of third-party networks, HMRC systems, bank payment rails, or utilities). We will resume performance as soon as reasonably practicable.

17. Changes to Services or Terms

We may update the Services or these Terms to reflect law, security, or operational improvements. Material changes will be notified via the Portal or email. Continued use after the effective date constitutes acceptance.

18. Assignment & Subcontracting

You may not assign these Terms without our consent. We may use vetted subcontractors to deliver parts of the Services; we remain responsible for their performance.

19. Third-Party Rights

Except for permitted successors and assigns, no person other than a party to these Terms has rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term.

20. Governing Law & Jurisdiction

These Terms are governed by the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales.
